"Services" refers to all AI consulting offerings provided by kalibrena, including AI Supply Chain Optimization, Image Recognition Custom Training, and AI Project Scoping Workshops.

"Agreement" refers to these Terms and Conditions, together with any service-specific agreements entered into between you and kalibrena.
02.Acceptance of Terms
By accessing our website or engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.
You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.
We reserve the right to update these terms at any time. Continued use of our website or services following any changes constitutes your acceptance of the revised terms.
03.Description of Services
kalibrena provides AI consulting and implementation services tailored to business needs in Malaysia and the surrounding region. Our current service offerings include AI-driven supply chain optimization, custom image recognition model training, and facilitated project scoping workshops.
The scope, deliverables, and timelines for each engagement are defined in individual service agreements or proposals provided before work begins. These service-specific documents form part of this Agreement.
We aim to deliver all services with professional care and technical competence. However, the outcomes of AI modelling and analysis are influenced by many factors, including data quality, business constraints, and implementation decisions made by the client.
04.User Responsibilities
When using our website, you agree to do so lawfully and in a manner that does not infringe the rights of others or restrict their use of the site. You agree not to attempt to gain unauthorised access to any part of our website, systems, or data.
When engaging our services, you are responsible for providing accurate and complete information, making authorised personnel available for consultations and workshops, providing timely access to the data and systems required for service delivery, and reviewing and providing feedback on deliverables within agreed timeframes.
You agree not to use our website or services for any purpose that is unlawful, fraudulent, or harmful to kalibrena, its clients, or its partners.
05.Intellectual Property
All content on this website — including text, graphics, logos, design elements, and code — is owned by kalibrena or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any website content without prior written permission.
For project deliverables, ownership and licensing terms are specified in individual service agreements. Generally, custom models, analyses, and documentation developed specifically for your engagement are licensed to you upon full payment, while underlying methodologies, frameworks, and tools remain the property of kalibrena.
You retain ownership of all data you provide to us during the course of an engagement. We will not use your proprietary data for purposes outside the agreed project scope without your explicit consent.
06.Payment Terms
Pricing for our services is quoted in Malaysian Ringgit (RM) and is outlined in individual proposals or service agreements. Prices may be subject to applicable taxes as required by Malaysian law.
Payment schedules are specified in each service agreement. Unless otherwise stated, a deposit may be required before work commences, with the balance due upon completion of defined milestones or delivery of final outputs.
We accept payment via bank transfer and other methods specified in our invoices. Late payments may incur a reasonable administrative charge, as outlined in the relevant service agreement.
Refund terms, if applicable, are specified in individual service agreements. Where a project is cancelled before substantial work has begun, we will discuss a fair arrangement based on the work completed to date.
07.Service-Specific Terms
AI Supply Chain Optimization: Deliverables are based on the data and constraints you provide. Optimization models offer scenario-based recommendations and are intended to support — not replace — human planning decisions. Results depend on data quality and the accuracy of input parameters.
Image Recognition Custom Training: Model accuracy is dependent on the quality, volume, and diversity of training data provided. We deliver models with documented performance benchmarks, but real-world performance may vary across different operating conditions. Continued model improvement requires ongoing data curation as outlined in our labelling guidelines.
AI Project Scoping Workshop: Workshop outputs, including the project brief, represent a professional assessment based on information available at the time. They are advisory in nature and do not constitute a commitment to deliver the scoped project. Separate agreements are required for implementation work.
08.Confidentiality
Both parties agree to treat as confidential any proprietary or sensitive information shared during the course of a service engagement. This includes business data, technical specifications, strategic plans, and any materials marked as confidential.
Confidentiality obligations survive the termination of any service agreement for a period of two years, unless a longer period is specified in the relevant service agreement or required by law.
09.Disclaimers
Our website and its content are provided on an "as is" basis. While we endeavour to keep the information on our website accurate and current, we do not warrant that it is complete, reliable, or suitable for any particular purpose.
AI models and analyses involve inherent uncertainty. We do not warrant specific business outcomes or financial results from the application of our services. Our role is to provide well-considered technical work and professional guidance — the application of that work within your business remains your responsibility.
Nothing on our website constitutes professional advice in fields outside our expertise, including legal, financial, or regulatory matters. We recommend seeking appropriate independent advice where needed.
10.Limitation of Liability
To the fullest extent permitted by Malaysian law, kalibrena's total liability arising from or in connection with any service engagement shall not exceed the total fees paid by you for the specific service giving rise to the claim.
We shall not be liable for any indirect, incidental, special, or consequential damages — including loss of revenue, loss of data, or business interruption — however caused, even if we have been advised of the possibility of such damages.
Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, government actions, infrastructure failures, or other force majeure events.
11.Termination
Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. In the absence of specific terms, a minimum of 14 days' written notice is required.
Upon termination, you are responsible for payment of all services rendered up to the date of termination. We will provide all completed deliverables and return any proprietary data you have shared with us.
We reserve the right to suspend or terminate access to our website if we reasonably believe that you are using it in a manner that violates these terms.
12.Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or related to these terms or our services shall be subject to the jurisdiction of the courts of Malaysia.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If informal resolution is not possible within 30 days, either party may pursue mediation or legal remedies as appropriate.
13.General Provisions
Entire agreement: These Terms and Conditions, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and kalibrena regarding the subject matter herein.
Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: No failure or delay in exercising any right under these terms shall constitute a waiver of that right.
Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor organisation or affiliated entity.
14.Changes to These Terms
We may revise these Terms and Conditions periodically. Material changes will be reflected by updating the "Last Updated" date at the top of this page. We recommend reviewing this page from time to time. Continued use of our website or services after changes have been posted constitutes acceptance of those changes.
